Candid Therapeutics

Autoimmune T-cell-engager roll-up built from three Chinese licensors; acquired by UCB for $2B upfront in 2026.

1. Core Product / Service

Candid (incorporated May 2024, launched September 2024) assembled a portfolio of T-cell engagers (TCEs) for autoimmune disease, all in-licensed from Chinese originators with rights outside Greater China [1][2]:

Program Target Licensor Stage (early 2026)
Cizutamig (CND106) BCMA×CD3 bispecific Shanghai EpimAb Biotherapeutics Multiple Phase 1 trials (gMG, SLE) plus IITs; global Phase 2 planned mid-2026 [1]
CND261 (ex-GB261) CD20×CD3 bispecific Genor Biopharma Phase 1 (RA, SLE) plus an ex-US IIT in ANCA vasculitis [1]
CND319 CD19×CD20×CD3 trispecific WuXi Biologics First-in-human planned mid-2026 [1]
CND460 CD19×BCMA×CD3 trispecific Third-party partner IND-enabling [1]

Cizutamig had been dosed in more than 100 patients across myeloma and autoimmune settings by the time of the UCB deal [4].

2. Target Users & Pain Points

  • Patients: B-cell- and plasma-cell-driven autoimmune diseases (myasthenia gravis, lupus, systemic sclerosis, SARD-ILD, RA), where TCEs aim at deeper tissue B-cell depletion than CD20 antibodies, as an off-the-shelf alternative to CAR-T [1].
  • Acquirer: UCB, which wanted a ready-made immunology TCE pipeline [3].

3. Competitive Landscape

Approach Examples Vs. Candid
Autologous / in vivo CAR-T for autoimmunity Multiple US and Chinese developers Deeper reset claimed, but cell manufacturing or new delivery tech needed
Other China-sourced TCE NewCos Several 2024–2025 licensing deals Candid aggregated three licensors into one platform
FcRn antagonists argenx (Vyvgart) Standard of care in gMG; Candid planned a head-to-head study vs Vyvgart [1]

4. Unique Observations

  • Resolved: where cizutamig came from. Earlier coverage was ambiguous — one outlet called the predecessor Vignette Bio a "Chinese biotech", others noted it was a US company that had licensed a BCMA TCE (EMB-06) from Shanghai EpimAb for $60M upfront in cash and equity [2][5]. The 2026 merger proxy settles it: Candid holds an EpimAb license for cizutamig, which it acquired through its August 2024 merger with Vignette and TRC 2004 [1]. Whether "cizutamig" and the earlier "EMB-06" code are the same molecule is strongly implied (same licensor, target and timing) but is not stated in so many words [1][5].
  • Virtual from day one. Candid says it does not own and does not plan to build manufacturing; multiple CMOs supply all preclinical and clinical material, while early clinical data came from China-run trials and IITs [1]. Discovery stays with the licensors' antibody-engineering platforms. It had 48 full-time employees at end-2025 [1].
  • Exit route switched mid-stream. In March 2026 Candid agreed a reverse merger into Nasdaq-listed Rallybio with a $505.5M concurrent financing; the UCB offer two months later replaced it [1][3].

5. Financials / Funding

  • Launch financing: $370M announced September 2024 [2]; the proxy shows a Series B of ~$206.0M at $1.20/share in August 2024 plus earlier Series A funding at the predecessors [1].
  • Licensor terms (per proxy) [1]:
    • EpimAb: $30M upfront cash + 30M Series A-1 preferred shares; up to $95M development/regulatory + $480M commercial milestones; single-digit royalties.
    • Genor: $16M upfront cash plus $6.5M in milestones paid in 2024–2025, ~12.5M common shares; up to $138.5M development/regulatory + $300M commercial milestones.
    • WuXi Biologics: $25M upfront cash; up to $150M development/regulatory + $750M commercial milestones (≈$925M total headline) [1][6].
  • Pre-exit valuation reference: Series B valuation of $650M cited in the fairness analysis [1].
  • Exit: UCB acquisition announced 2026-05-04 — $2.0B upfront + up to $200M milestones; closed 2026-06-17 [3][4].
