Sentivera Therapeutics

ARCH / Population Health Partners NewCo formed to take Haisco's undisclosed oral type-2-inflammation drug global.

1. Core Product / Service

Sentivera Therapeutics (formerly Respivera Healths; incorporated in Delaware on 2025-11-25) holds exclusive rights, outside mainland China, Hong Kong, Macau and Taiwan, to develop, manufacture and commercialise one asset from Haisco Pharmaceutical Group [1]. The asset is an oral small molecule discovered in-house by Haisco for inflammatory (type 2) diseases; it has a China IND approval but has not been named, and its target and indications are undisclosed [1][3]. Type 2 inflammation spans asthma, atopic dermatitis, chronic rhinosinusitis and eosinophilic GI disease — markets dominated today by injectable biologics, which is the opening for an oral drug.

2. Target Users & Pain Points

  • Patients: type 2 inflammatory diseases currently treated with injected antibodies (anti-IL-4Rα, anti-IL-5, anti-TSLP); an oral option would address injection burden and broaden use to milder disease.
  • Licensor: Haisco monetises an early asset while keeping equity and sublicence upside.

3. Competitive Landscape

Approach Example Vs. Sentivera
Injectable type 2 biologics Dupilumab, tezepelumab Entrenched standard of care
Long-acting TSLP antibody NewCo windward-bio Biologic with twice-yearly dosing
Oral small molecules for type 2 inflammation Various (STAT6, IL-4Rα-pathway programs) Same thesis; target of Sentivera's asset not disclosed

4. Unique Observations

  • Earliest-stage NewCo in this set. Unlike kailera-therapeutics or braveheart-bio, which bought assets with Phase 2–3 data, Sentivera starts at IND stage, so the China Phase 1 run by Haisco will likely be the first human data — wet lab, CMC and first-in-human all sit with the licensor [1][2].
  • Licensor's controlling shareholder co-invests. Haisco chairman and controlling shareholder Wang Junmin is putting $5M personally into the same round, at the same per-share price as other investors (~2.44% of the company), which made the license a related-party transaction requiring shareholder approval [1].
  • Metsera's backers repeat the formula. Population Health Partners co-created Metsera, an obesity company later acquired by Pfizer; with ARCH it now applies the company-creation model to a China-licensed immunology asset [3].

5. Financials / Funding

  • NewCo financing: investors led by Population Health Partners and ARCH are committing $83M [1].
  • Haisco terms (signed 2026-08-25): ~$75.89M upfront, comprising $40M cash plus 11,964,016 Sentivera shares (17.5%) valued at ~$35.89M; up to $1.46B in clinical, regulatory and commercial milestones; tiered royalties up to 10% of net sales; a share of any sublicensing income [1]. Press headlines round the total to "more than $1.5B" [3][4].
  • The deal still required Haisco shareholder approval at the time of filing [1].
