Treeline Biosciences

Loxo founder's stealth oncology biotech: ~$1.2B of preferred raised, four Phase 1 programs, now going public by reverse merger.

1. Core Product / Service

Treeline (Watertown, MA) is a small-molecule and targeted-therapy drug developer focused on cancer, with earlier work in neurology and immunology. Its merger filing says it "commenced operations in 2021" [1]. It runs three modalities in parallel: small-molecule inhibitors, degraders and targeted-therapy ADCs [1].

Candidate What it is Stage
TLN-121 Oral BCL6 degrader (lymphoma) Phase 1; ORR 84%, CR 32%, no DLTs at a March 2026 cutoff [1]
TLN-372 KRAS inhibitor Phase 1 [1]
TLN-499 BCL-XL degrader Phase 1 (non-US filing) [1]
TLN-254 EZH2 inhibitor in-licensed from Jiangsu Hengrui Phase 1 [1]

The company reports more than 10 programs, "all but one discovered by our in-house team", and guides to TLN-121 and TLN-372 data in 2027 [1].

2. Target Users & Pain Points

  • Patients: lymphoma and solid-tumour patients with targets that earlier drugs could not reach well (BCL6, KRAS variants, BCL-XL).
  • Strategic buyers: large oncology companies that want clinically de-risked, wholly owned molecules. The founders previously sold Loxo Oncology to Lilly.

3. Competitive Landscape

Player Overlap Note
Arvinas and other degrader companies BCL6 / protein degraders Treeline's degrader is among the more advanced BCL6 programs [1]
Revolution Medicines RAS inhibitors The benchmark for KRAS programs
odyssey-therapeutics Same-cohort, VC-built small-molecule biotech Also went public in 2026

4. Unique Observations

  • Wet lab: design is done in-house, while chemistry capacity and all manufacturing are bought in. At mid-2026 Treeline had 163 employees, 145 of them in R&D [1]. It leases 45,000 sq ft of office and lab space in Watertown (lease ends December 2027) and 35,117 sq ft in San Diego, plus a lab in Basel whose size is not disclosed [1]. The filing says "true innovation cannot be outsourced" and describes CROs and FTE contracts as "extenders of internal capacity rather than substitutes" [1]. In practice, net PP&E is only about $9M, and personnel was about $49.5M of the $160M FY2025 R&D budget [1]. The company has agreements with WuXi AppTec and WuXi Biologics, and third-party CDMOs make all drug substance and drug product [1].
  • The lead asset is not entirely home-grown. TLN-121 builds on BCL6 IP licensed from Cancer Research UK's CRT Pioneer Fund, which is owed royalties [1].
  • It is going public without an IPO. In June 2026 it agreed an all-stock reverse merger into Standard BioTools. That deal values Treeline at $2.5B against $460M for Standard BioTools, about 84/16 ownership [1][2]. The combined company is to be renamed Treeline and trade as TRLN; the shareholder vote was still pending in October 2026 [1].

5. Financials / Funding

  • Series A (pre-2023): $515.4M net, including a small A-1 tranche [1].
  • Series A-1 (October 2024): $421.6M net. It was first surfaced through a Form D, not a press release [1][4].
  • Series A-2 (August 2025): $255.5M net. Press reported a "$200M extension, $1.1B total", which appears to have been a first close [1][3].
  • Cumulative: about $1.2B net from convertible preferred [1].
  • Cash: $507.5M at 2026-06-30. The combined company is pitched at more than $900M pro forma, with runway into 2029 [1][2].
  • Licences: $11M upfront to Hengrui for TLN-254, which carries up to $695M in milestones [1].

6. People & Relationships

  • Co-founder, CEO: Joshua Bilenker (founder of Loxo Oncology; formerly at Aisling Capital and FDA) [1].
  • Co-founder, CSO: Jeffrey Engelman (former global head of oncology at Novartis NIBR) [1].
  • Investors: OrbiMed, ARCH, GV, KKR, Aisling, Ajax Health, Access Industries [1].
  • Partners and vendors: Jiangsu Hengrui (licensor, also behind kailera-therapeutics), CRT Pioneer Fund, WuXi AppTec, WuXi Biologics [1].
  • Cohort peers: eikon-therapeutics, odyssey-therapeutics.
