Kailera Therapeutics

Hengrui's obesity NewCo: a US company holding ex-China rights to a GLP-1/GIP franchise, now in global Phase 3 and Nasdaq-listed.

1. Core Product / Service

Kailera (Waltham, MA) was incorporated on 2024-05-08 as "Hercules CM Newco" and renamed in August 2024 [1]. It does no discovery of its own: its whole pipeline is in-licensed from Jiangsu Hengrui Pharmaceuticals, with rights covering the world outside Greater China [1].

Candidate What it is Stage (ex-China)
Ribupatide (KAI-9531 / HRS9531) Once-weekly injectable GLP-1/GIP dual agonist peptide Global Phase 3 (KaiNETIC-1/-2/-3, started Dec 2025–Jan 2026; topline expected 2028) [1]
Oral ribupatide (KAI-9531-T) Once-daily tablet of the same peptide Global Phase 3 planned as early as 1H 2027; Hengrui plans a China Phase 3 [1]
KAI-7535 (HRS-7535) Once-daily oral small-molecule GLP-1 agonist Global Phase 2 started April 2026 (topline 2027); Hengrui China Phase 3 ongoing [1]
KAI-4729 (HRS-4729) Once-weekly GLP-1/GIP/glucagon tri-agonist Early clinical (Hengrui Phase 1 in China) [1]

The clinical case rests on Hengrui's Chinese data: in a 48-week China Phase 3, ribupatide 6 mg produced a mean 17.7% weight reduction (treatment-policy estimand) vs 1.4% for placebo [1].

2. Target Users & Pain Points

  • Patients / payers: adults with obesity, with a stated focus on higher-BMI (35+) patients who remain obese on current drugs; KaiNETIC-3 includes an open-label semaglutide arm [1].
  • Pain solved for the licensor: Hengrui monetises ex-China rights without building a Western development and commercial organisation, while keeping equity upside.

3. Competitive Landscape

Player Asset class Note
Eli Lilly (tirzepatide) Approved GLP-1/GIP The benchmark Kailera explicitly positions against [1]
Novo Nordisk (semaglutide) Approved GLP-1 Comparator arm in KaiNETIC-3 [1]
verdiva-bio Oral weekly GLP-1 from Sciwind Another China-sourced obesity NewCo, earlier stage

4. Unique Observations

  • Wet lab and CMC stay in China. The prospectus states Kailera owns no manufacturing facilities; Hengrui supplies drug substance and drug product for clinical trials under a January 2025 supply agreement, and all Phase 1/2 and China Phase 3 data were generated by Hengrui [1]. Kailera's ~145 staff (98 in R&D at end-2025) run global trials, regulatory and BD — the archetype of the asset-light NewCo [1].
  • Licensor equity is a large part of the deal. Headline "upfront" figures of ~$110M in press coverage combine a $100M cash upfront and a $10M technology-transfer fee; on top of that Hengrui received preferred stock worth ~$96.4M at issuance, equal to 19.9% fully diluted [1][2].
  • Proof that the NewCo route can reach public markets. Kailera was the first of the 2024–2025 China-asset NewCos to IPO, followed by braveheart-bio in August 2026 and the candid-therapeutics trade sale to UCB [2].

5. Financials / Funding

  • Series A: $400M (May 2024; Bain Capital Life Sciences, Atlas Venture, RTW and others) [2][3].
  • Series B: $600M (Oct 2025; led by Bain Capital Private Equity) [3]. Note: the prospectus says $900M of proceeds were raised since inception, vs $1.0B implied by the two announced rounds [1][3].
  • IPO: Nasdaq KLRA, priced at $16/share on 2026-04-16/17; 39.06M base shares (~$625M) plus a 5.86M-share option, ~$718.8M gross with the option exercised [1][4].
  • Hengrui terms: $100M upfront + $10M tech transfer + 19.9% equity; up to $200M clinical/regulatory and up to $5.725B commercial milestones; tiered royalties mid-single-digit to low-tens percent [1].
  • Cash: $652.7M at 2025-12-31, pre-IPO [1].
